Terms of Use
Terms governing access to and use of Lotus Terminal Services.
These Terms of Use (the “Terms”) govern your access to and use of the Lotus Terminal website(s), applications, documentation, APIs, interfaces, and related services (collectively, the “Services”).
1. Acceptance of the Terms
These Terms are entered into by and between you and LotusExecution, Inc. (to be incorporated), together with its future affiliates and successors (“Lotus,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms, together with any additional product-specific terms, rules, or policies made available through the Services (collectively, “Product Terms”), all of which are incorporated by reference.
If you do not agree to these Terms, you must not access or use the Services.
2. Privacy Policy
Our Privacy Policy forms part of these Terms and is incorporated by reference.

3. Eligibility; Compliance; Restricted Persons
You may use the Services only if you:
are at least 18 years of age (or the age of majority in your jurisdiction);
have the legal capacity to enter into a binding contract; and
are not prohibited from using the Services under applicable law.
You are solely responsible for ensuring that your access to and use of the Services complies with all applicable laws, regulations, and restrictions in your jurisdiction.
Restricted Persons
You may not access or use the Services if you are a Restricted Person, meaning you are:
subject to sanctions or restrictive measures imposed by any governmental authority;
located in, ordinarily resident in, or organized under the laws of a jurisdiction where the Services are prohibited; or
otherwise restricted or prohibited from accessing prediction market services by applicable law or by any External Platform.
Lotus may restrict or block access at any time to maintain compliance.
4. Nature of the Services
4.1 Aggregation and Interface Only
Lotus provides an interface and analytical tooling that may allow users to:
discover and view publicly available prediction market data;
aggregate and organize information from multiple third-party platforms;
route interactions to third-party prediction market platforms via integrations (including APIs);
receive analytics, alerts, feeds, and personalization features.
4.2 External Platforms
Third-party prediction market platforms and services are referred to as “External Platforms.”
These are independent third parties not owned, operated, or controlled by Lotus.
4.3 No Market Operation or Settlement
Lotus does not create, sponsor, host, operate, or settle prediction markets.
All trades, positions, settlements, redemptions, payouts, and outcomes occur exclusively between you and the relevant External Platform, under that platform’s terms.
Lotus does not:
act as your broker, agent, intermediary, fiduciary, or advisor;
guarantee execution, pricing, liquidity, or settlement; or
assume responsibility for the operation or solvency of any External Platform.
5. No Advice; Independent Judgment
All information provided through the Services is for general informational purposes only.
Nothing on or through the Services constitutes legal, tax, financial, investment, or other professional advice.
You acknowledge that all decisions are made solely by you, based on your own independent judgment and risk assessment.
6. Accounts, Security, and Access
You are responsible for safeguarding any credentials, devices, wallets, or third-party accounts used in connection with the Services.
You agree that:
all activity conducted through your access is your responsibility;
you will promptly notify Lotus of any unauthorized access or security breach; and
Lotus may suspend or restrict access if it reasonably believes security or compliance risks exist.
7. Wallets and Digital Assets
The Services may support connections to third-party wallets or other blockchain tools.
Unless explicitly stated otherwise:
Lotus does not control your wallet or private keys;
transactions are irreversible once executed on-chain; and
Lotus is not responsible for blockchain failures, forks, congestion, smart-contract bugs, or third-party wallet failures.
Any custodial services, if offered in the future, will be governed by separate, explicit custodial terms.
8. Prohibited Uses
You agree not to use the Services to:
violate any applicable law or regulation;
engage in fraud, manipulation, or deceptive practices;
circumvent sanctions, geofencing, or access controls;
scrape, harvest, or extract data at scale without authorization;
interfere with system security or performance;
distribute malware or exploit vulnerabilities; or
misrepresent affiliation with Lotus or any third party.
Lotus may investigate and take appropriate action where violations are suspected.
9. Intellectual Property
All content, software, interfaces, designs, and materials provided through the Services are owned by Lotus or its licensors and protected by intellectual property laws.
You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services solely in accordance with these Terms.
10. Third-Party Content and Services
The Services may display or integrate third-party content or services.
Lotus does not control and is not responsible for any Third-Party Content or External Platform.
Your use of such services is governed by the applicable third party’s terms and policies.
11. Monitoring; Suspension; Termination
Lotus may suspend, restrict, or terminate access to the Services at any time, with or without notice, to:
enforce these Terms;
comply with legal or regulatory obligations; or
mitigate risk to Lotus or users.
Termination does not affect obligations that by their nature survive termination.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
LOTUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13. Risk Disclosure
Using the Services involves substantial risk, including:
External Platform Risk: outages, execution failures, insolvency, or regulatory action.
Market Risk: volatility and potential total loss.
Technology Risk: blockchain, API, and infrastructure failures.
Regulatory Risk: changes in law or enforcement may limit or suspend Services.
You assume all such risks.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOTUS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
LOTUS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
USD $100, or
the amount (if any) paid by you to Lotus in the three (3) months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Lotus and its future affiliates, officers, directors, employees, and contractors from any claims arising out of:
your use of the Services;
your violation of these Terms; or
your interaction with any External Platform.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LotusExecution, Inc. is incorporated at the time a dispute arises, without regard to conflict-of-laws principles.
The parties agree to attempt informal resolution before initiating formal proceedings.
17. Changes to the Terms
Lotus may update these Terms at any time.
Updated Terms become effective upon posting.
Continued use of the Services constitutes acceptance.
18. Entire Agreement
These Terms, together with the Privacy Policy and any Product Terms, constitute the entire agreement between you and Lotus regarding the Services.
